VU Games to Acquire Portfolio of Fox Interactive Titles

     CENTURY CITY, Calif. March 10, 2003 -- Fox Interactive, a unit of Fox Filmed Entertainment, and Vivendi Universal Games (VU Games), a unit of Vivendi Universal, S.A., announced today an overall agreement under which VU Games will publish and distribute all Fox Interactive games currently in development and not subject to existing distribution agreements. The deal, which includes titles from ten different franchises, including The Simpsons, Buffy the Vampire Slayer and X-Files, expands an existing co-publishing deal between the two companies that was announced in 2001. The new agreement will leverage and combine Fox’s strong content and production expertise with VU Games’ size, market position and worldwide marketing and distribution capabilities. Financial terms of the agreement were not disclosed. Specific titles included under the agreement will be announced by VU Games shortly.

     “Though we’ve had great success over the years with both home-grown and acquired properties, this deal presents terrific opportunities and the best business model for our content,” noted Steve Bersch, President of Fox Interactive. “We feel certain that our games, and the Fox properties they are based upon, will be best served through this expanded relationship with Vivendi Universal Games, which is a leading player in the PC world and a rapidly emerging force in the console business. We have some fantastic games coming and believe this is the right step toward helping them reach their greatest potential in the marketplace.”

     The Fox group will function as a separate development team within VU Games to oversee and manage the new titles. The group joins VU Games’ existing portfolio of publishing labels which includes Black Label Games, Blizzard Entertainment, Coktel, Knowledge Adventure, NDA Productions, Sierra Entertainment and Universal Interactive.

     In addition, the agreement grants to VU Games the sequel rights to a number of titles. Future interactive gaming opportunities based on Fox content will be licensed through Twentieth Century Fox Licensing and Merchandising.

     Fox Interactive has had numerous commercial and critical successes over the years, including The Simpsons Road Rage, which is on track to sell more than 2 million units worldwide, and the highly lauded No One Lives Forever and Aliens vs. Predator series.
